Dear Members - We are revising our By-laws and request that you review them and send us comments (jenn.allen@riverfriends.org) before our Annual Meeting on May 15th. We will vote on these By-law changes at the Annual Meeting, so please join us for this important occasion.
The full document "By-law Revisions" can be found below. Several key areas are proposed as follows:
New
ARTICLE VI: Governance Authority of the Membership
- This article specifies the
governance authority resting with the membership which is not given in the
current bylaws.
An expanded ARTICLE VII: Executive Committee
- The added subsections specify the duties of the Executive Committee in
conducting the business of the Association
- Term limits for Officers and
Executive Committee members are proposed.
ARTICLE
VIII: Officers and Standing Committees of the Executive Committee
- Proposed change would prohibit the
Executive Committee from forming new standing committees; it would require a
vote of the membership.
- Proposed change would reduce the
number of Standing Committees from a current list of eight to three. This is proposed because the Standing
Committee chairs have a vote on the EC but are not elected by the
membership.
